Terms of Service

Effective Date: October 21, 2026 · Last Updated: October 2026

1. Introduction & Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of Cerin, a desktop software engineering application and associated cloud coordination services provided by Octanon Labs (“Octanon Labs”, “we”, “our”, or “us”), founded by Abrham Asbe.

By downloading, installing, accessing, or using Cerin or our website (cerin-website.vercel.app / cerin.dev), you agree to be bound by these Terms. If you do not agree, do not install or use the software.

2. License Grant & Desktop Application

Subject to your compliance with these Terms, Octanon Labs grants you a personal, non-exclusive, non-transferable, revocable license to install and use Cerin on compatible operating systems (Windows, macOS, and Linux) for software engineering and application development.

Cerin executes autonomously on your local workstation. You maintain full administrative authority over which directories, terminals, and network ports Cerin is permitted to access.

3. 100% User Ownership of Code & Intellectual Property

You retain full, exclusive ownership of all intellectual property rights in your code, projects, and outputs.

Octanon Labs claims zero ownership, title, or interest in any software, source code, documentation, architectures, or files created, modified, or generated by you using Cerin. We do not store, license, or claim royalties on your work.

4. API Keys & Third-Party AI Providers

Cerin allows you to connect directly with third-party language model providers (including but not limited to OpenRouter, Anthropic, OpenAI, Google Gemini, Together AI, and local Ollama instances) using your own API credentials.

Your API keys are stored encrypted locally on your operating system (via Windows DPAPI, macOS Keychain, or Linux Secret Service) and are never transmitted to Octanon Labs servers. You are solely responsible for compliance with the terms and billing agreements of your chosen third-party AI providers.

5. Prohibited Uses & Host Security

You agree not to:

  • Attempt to decompile, reverse engineer, unpack, tamper with, or circumvent the security mechanisms, license verifications, or core binaries of the Cerin application.
  • Use Cerin to intentionally build, distribute, or execute malware, trojans, ransomware, or unauthorized surveillance software.
  • Interfere with, disrupt, or launch denial-of-service attacks against Octanon Labs authentication or release infrastructure.
  • Sublicense, lease, or resell the Cerin desktop client binary without explicit written consent from Octanon Labs.

6. Disclaimer of Warranties

Cerin and all related services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied.

Autonomous software agents generate synthetic code that must be verified before deployment. Octanon Labs does not warrant that code generated by AI models will be error-free, uninterrupted, or secure. You are responsible for inspecting, testing, and verifying all automated changes before executing them in production environments.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Octanon Labs, its founder Abrham Asbe, or its officers, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, code corruption, or business interruption arising out of your use or inability to use Cerin.

8. Termination

These Terms remain in effect until terminated by either you or Octanon Labs. You may terminate these Terms at any time by uninstalling Cerin and closing your account. Octanon Labs reserves the right to suspend or terminate access for violations of these Terms.

9. Governing Law & Contact

These Terms shall be governed by and construed in accordance with the laws applicable to Octanon Labs.
